By accessing or using the Services, you, as a Business Client, agree to comply with these Terms, which form a legally binding agreement between you ( “Business Client”, “you” or “your”) and Codesi (“we”, “us”, or “our”).
If you are using the Services on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.
1. Introduction

These Terms apply to all users of our Services, including but not limited to Business Clients, contributors, and other authorized users, regardless of the subscription plan or account type. They outline the rules, guidelines, and limitations that apply to the use of our platform and related tools for website and other asset creation, design, and management, as well as any other services we may provide.
These Terms are intended to provide a clear and consistent understanding of the roles, responsibilities, and expectations for all parties using our Services. If you do not agree to these Terms, you should not access or use the Services.
1.2. Definitions
For clarity and ease of understanding, certain terms used within these Terms are defined as follows:
1.2.1. “Account” refers to the personal or organizational account created to access the Services.

1.2.4. “Customer” means an individual who interacts with or uses the services provided by a Business Client through the website created and managed using the Codesi platform.
1.2.5. “Third-Party Services” are services provided by external providers that can be integrated with our platform for additional functionality.

1.3. Our Services
Our Services provide Business Clients with a creative toolkit for generating essential digital assets, including lead-generation websites, custom logos, and high-quality images. With a user-friendly platform, individuals and businesses can easily design multiple websites for lead capture, alongside creatively generated logos and unique visuals. Business Clients can explore the essentials for free or unlock premium features for enhanced quality, customization, and additional hosting capabilities.

Note that the Services may delete your assets if you are not active and/or when your paid plan lapses, but you still have paid-level assets to your account. Please read carefully the conditions and clarifications presented on our Services to make sure not to lose valuable assets.
2. Account Registration and Access
2.1. Representations and undertakings
To access and use the Services, you must register and create an account (“Account”). By creating an Account, you agree to provide accurate, current, and complete information, including, but not limited to, a valid email address. Only individuals who can form legally binding contracts are eligible to create an Account. If you are under the age of 18, you may only use the Services with the consent of a parent or guardian.
By accessing and using the Codesi platform, you represent and warrant the following:
Authority to Bind Business Client: If you are using the Services on behalf of the Business Client, you affirm that you have the full authority and legal right to represent and bind the Business Client to these Terms. You confirm that you are acting within the scope of your authority and that the Business Client acknowledges and agrees to comply with all obligations and responsibilities set forth herein.
Sanctions Compliance: You represent and warrant that neither you, the Business Client, nor any of your end users are subject to any trade, economic, or financial sanctions, embargoes, or other restrictive measures imposed by applicable authorities, including but not limited to the United Nations, the United States, the European Union, and other relevant jurisdictions. You agree not to use the Codesi platform in a manner that would violate such sanctions or cause Codesi to be in violation of them. herein.
Compliance with Applicable Law: You and the Business Client agree to comply fully with all applicable local, national, and international laws, regulations, and ordinances in relation to your use of the Codesi platform. This includes, but is not limited to, laws governing data protection, intellectual property, consumer protection, and export controls.
Failure to adhere to these representations may result in suspension or termination of your access to the Services and could lead to legal consequences as determined by applicable laws.
2.2. Role-Based Access and Permissions
Depending on your subscription plan, you may have the ability to invite additional users, such as contributors or team members, to access and perform activities within your Account. You are solely responsible for managing access permissions and ensuring that users comply with these Terms. Actions taken by any user within your Account will be considered as actions on your behalf, and you assume full responsibility for these actions.
2.3. Account Ownership
The owner of the Account is the individual or entity associated with the primary email address provided at the time of registration. In case of a dispute over ownership, we reserve the right to determine the rightful owner based on our records and any supporting documentation provided, such as business licenses or identification.

You are responsible for safeguarding your Account credentials, including usernames and passwords. Any unauthorized access or activity on your Account should be reported to us immediately. You are liable for all actions performed within your Account, whether or not authorized by you, and we are not responsible for any loss or damage arising from unauthorized access.

We reserve the right to suspend or terminate your Account at our sole discretion if you violate these Terms or engage in prohibited activities. Upon termination, your access to the Services will cease, and you may lose any data associated with your Account.

Compliance with Codesi Policies: Your Content aligns with Codesi’s guidelines, including any Acceptable Use Policy and other applicable standards set forth in these Terms.

You assume full responsibility for the legality and integrity of your Content. Codesi reserves the right, but has no obligation, to review, monitor, or remove any Content that violates these representations or is otherwise inappropriate.
3.3. License to Use Your Content
By using the Services, you grant us a perpetual, worldwide, royalty-free, sublicensable, assignable license to display, host, copy, store and use your Content as needed to operate, enhance, and secure the Services. This includes displaying Content on your site or project at your request and making backup copies to protect your data.
3.4. Right to Use Content for Commercial Purposes
In addition to operational use, you grant us a perpetual, worldwide, royalty-free, sublicensable, assignable license to use some or all of your Content for our own commercial purposes, including but not limited to advertising, marketing, and promotional activities. This may include showcasing your site, designs, or other materials created on our platform across our website, social media channels, or marketing materials.
3.5 Responsibility for Your Content
Codesi operates as a platform (Services) that enables Business Clients to upload, create, and publish Content independently. As such, all responsibility for the Content you publish or make available through the Services rests solely with you, the Business Client. You acknowledge that Codesi does not control or endorse any Content published on the platform and is not liable for any claims, disputes, or damages arising from the Content. materials.

Indemnify and hold Codesi harmless from any and all claims, damages, expenses, and liabilities, including legal fees, resulting from any third-party claims related to your Content, including but not limited to claims of infringement, defamation, or violation of rights.
By using the platform, you agree to bear all risks associated with your Content and accept full responsibility for any repercussions from its publication or distribution through Codesi.
3.6 Right to Remove Content
Codesi reserves the right, at its sole discretion, to remove or disable access to any content published or stored on the platform for any reason, including but not limited to content that violates these Terms, our Acceptable Use Policy, or applicable laws, or that we deem inappropriate, harmful, or otherwise objectionable. This right may be exercised with or without notice to you. Codesi is not liable for any consequences resulting from the removal of such content, and it is solely your responsibility to maintain backups of your content outside of the platform.
4. Codesi’s Intellectual Property
4.1. Ownership of Intellectual Property
All intellectual property rights in and to the Codesi platform, including but not limited to its software, design, trademarks, logos, and proprietary content, are owned exclusively by Codesi or its licensors. This includes any improvements, updates, or modifications made to the Services.
4.2. Limited License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Codesi Services solely for your personal or business purposes, as outlined in these Terms. This license does not grant you any rights to our intellectual property beyond what is expressly permitted under these Terms.
You are strictly prohibited from using any part of Codesi’s intellectual property, including but not limited to its software, algorithms, AI models, tools, proprietary data, and platform features, to develop or create your own solutions, tools, software, systems, or services. Any attempt to reverse-engineer, replicate, or utilize Codesi’s intellectual property for independent development or competitive purposes is a violation of these Terms and may result in immediate termination of access to the Services, as well as potential legal action. Codesi reserves all rights to its intellectual property, and unauthorized use is strictly forbidden.

You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works based on any part of the Codesi platform, except as expressly authorized by us in writing. We are not liable for any disputes, claims, or issues arising from your business relationships with Customers, and it is your responsibility to ensure that all dealings are conducted in accordance with applicable laws and regulations.

By using our Services, you agree to the Data Processing Agreement athttps://codesi.ai/data-processing-agreement, which is incorporated by reference into these Terms and forms an integral part of the Terms.
6. Third-Party Services
6.1. Integrations with Third-Party Services
If you choose to integrate any third-party services or tools with the website, those integrations are subject to the terms and policies of the respective third-party providers. Your interactions with these services are solely between you and the third-party provider, and we are not involved in or responsible for any agreements, transactions, or issues that may arise from such integrations.
This also applies to third-party services which are suggested for integration through Codesi’s Services. Note that enabling the integration and/or using the Services with the integration enabled forms a contractual relationship directly between you and the third-party service provider, without participation of Codesi in such a relationship.

Any Content, features, or tools made available through third-party integrations are used at your discretion, and you are responsible for ensuring they align with your needs and legal obligations.
6.3. Customer-Generated Content
The Services may also include Content uploaded by other users, which is provided on an “as-is” basis. We do not control, endorse, or take responsibility for user-generated Content on the platform. You acknowledge that any Content posted by other users does not reflect our views, and we are not liable for any consequences resulting from its use or availability.
7. AI Functionality
If you choose to integrate any third-party services or tools with the website, those integrations are subject to the terms and policies of the respective third-party providers. Your interactions with these services are solely between you and the third-party provider, and we are not involved in or responsible for any agreements, transactions, or issues that may arise from such integrations.

The AI services provided by Codesi, including AI-generated Content, insights, and recommendations, are intended to assist you in building and enhancing your Content. However, please be aware that AI-generated outputs may not always be accurate, complete, or applicable to your specific needs, and may contain factual, legal, or ethical inaccuracies.
Disclaimer: Codesi provides AI-generated Content and suggestions solely for your review and further editing. Codesi makes no guarantees regarding the accuracy, legitimacy, or suitability of any AI-generated material. Any decisions to publish or implement AI-generated Content are made at your own risk, and you are solely responsible for ensuring that any Content used on your Customer Platform meets applicable standards, requirements, and best practices.
By using the AI Services, you acknowledge that:
AI-generated Content and recommendations are not subject to verification by Codesi for accuracy, completeness, or relevance to any specific legal, industry and/or professional standards.
Codesi does not represent or warrant that AI-generated outputs conform to any legal, regulatory, or ethical requirements, nor do they constitute professional or legal advice.
You are solely responsible for reviewing, editing, and verifying any AI-generated Content before publishing or using it on your Customer Platform.
Codesi is not liable for any consequences resulting from your use of AI-generated Content, and all responsibility rests with you to ensure compliance with any applicable laws, regulations, or standards before using such Content.
7.2. Ownership and License of AI Output
Any Content generated by the AI services (“AI Output”) is owned by you. However, by using the AI Services, you grant Codesi a perpetual, worldwide, royalty-free, sublicensable, assignable license to use, reproduce, modify, distribute, display, and create derivative works from the AI Output for any purpose. This includes, but is not limited to, internal research and development, enhancement of the AI Services, marketing, and other commercial or non-commercial uses.
This license allows Codesi to utilize AI Output in a manner that supports the ongoing improvement of our platform and services, as well as any other lawful purpose. You acknowledge and agree that Codesi may exercise these rights without further notice or compensation to you.
8. Payment and Cancellation
We offer free and paid Services. Please go to our product pages to learn more.
8.1. Payment for Paid Services
8.1.1. Certain services offered by us may require payment of specific fees ("Paid Services" and "Fee(s)", respectively). We will inform you of the current Fees applicable to the Paid Services offered. All Fees are to be paid in advance.
8.1.2. We reserve the right to alter the Fees for our Paid Services at any time at our discretion. Should this affect your existing subscription, we will notify you or your reseller if applicable.
8.1.3. In instances where discounts or promotions are applied, upon the conclusion of such offers, your subscription will automatically renew at the then-current standard Fee unless otherwise specified.
8.2. Taxes
8.2.1. Unless stated otherwise, fees do not include any taxes (e.g., value-added tax, sales tax), levies, or duties applicable, and you are responsible for paying any applicable taxes related to the use of our services.
8.2.2. If required by law, applicable taxes will be added to your Fees and reflected in your invoice.
8.3. Subscription Auto-Renewals
To prevent disruptions in service, Paid Services will auto-renew. The renewal will be for a period equivalent to your previous subscription term.
8.4. Chargebacks
8.4.1. Any decline, chargeback, or rejection of charge on your account will be considered a breach of payment obligations. This may result in automatic suspension or termination of your User Account and associated services.
8.4.2. To resume services following a chargeback, you must settle all outstanding Fees and incurred costs.
8.4.3. We encourage you to contact our Customer Support team for any payment issues before initiating chargebacks to avoid unnecessary service cancellation and to resolve any discrepancies. We reserve the right to dispute any chargebacks with relevant authorities or financial institutions.
9. DMCA and Other Takedown Procedures
Codesi functions as a technical intermediary, providing a platform that allows Business Clients to upload, create, and share content. We respect the intellectual property rights of others and expect our Business Clients to do the same. If you believe that content published on the Codesi platform infringes upon your copyright or other intellectual property rights, you may submit a takedown request in compliance with the Digital Millennium Copyright Act (DMCA) or other applicable laws.
Filing a Takedown Request: To initiate a takedown request, please contact us at [email protected] with the following information:
Identification of the content you believe is infringing, including a description of the work allegedly infringed and the exact URL or location of the infringing content on the Codesi platform.
Your contact information, including your name, email address, and a phone number where we can reach you.
A statement that you have a good faith belief that the use of the content is not authorized by the copyright owner, its agent, or the law.
A statement, under penalty of perjury, that the information provided in your request is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.
Your physical or electronic signature.
Upon receiving a complete takedown request, we will review the notice and take any action we deem appropriate, including removal of the content if necessary, in compliance with applicable law. Codesi reserves the right to notify the Business Client responsible for the content of the takedown request.
Counter-Notification Process: If you are a Business Client whose content was removed due to a takedown request, you may submit a counter-notification if you believe the removal was made in error. To file a counter-notification, please contact us at [email protected] with similar information as outlined above, along with a statement of good faith that the content was removed by mistake or misidentification.
Codesi is committed to maintaining a fair process for resolving copyright disputes and fulfilling its obligations as a technical intermediary under the DMCA and other relevant regulations.
10. Warranty Disclaimer
The Service is provided on an "as-is," "with all faults," and "as-available" basis to the fullest extent permitted by applicable law. Codesi, along with their licensors and suppliers, expressly disclaim any and all warranties, whether express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.
Codesi makes no warranties or representations that the services will be uninterrupted, error-free, or meet your requirements or expectations. Codesi also does not warrant that the services will be free from viruses or other harmful components. Codesi is not liable for delays, interruptions, service failures, or other problems inherent in the use of the internet and electronic communications or other systems outside their reasonable control.
Additionally, Codesi does not guarantee the accuracy, completeness, reliability, or security of the services or the data transmitted over networks they do not own, operate, or control. They are not responsible for any data lost, altered, intercepted, or stored across such networks. No advice or information, whether oral or written, obtained from Codesi, shall create any warranty.
The use of any Codesi Services or content associated with or accessed is at your own risk. Codesi does not endorse or take responsibility for such Content and assume no liability for any associated risks, including but not limited to misrepresentation, breach of warranty or contract, violation of rights, and consequent claims.
You acknowledge and assume all risks related to the use of the Services, including any interactions with Codesi, user content, and any consequences arising from such use.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Codesi, along with its officers, directors, shareholders, employees, affiliates, and agents, shall not be liable for any direct, indirect, incidental, special, punitive, exemplary, or consequential damages whatsoever. This includes, but is not limited to, damages arising from: errors or inaccuracies in content; personal injury or property damage related to the use of Codesi services; unauthorized access to servers and stored information; service interruptions; display or transmission of any content; and events beyond Codesi's reasonable control, such as internet failures, equipment failures, strikes, natural disasters, governmental actions or non-performance by third parties.
Neither party's aggregate liability for claims related to the services or this agreement shall exceed subscription fees paid by you to Codesi in the twelve-month period preceding the event giving rise to such liability.
Furthermore, Codesi assumes no liability for user content or third-party conduct accessed via its services, including any defamatory, offensive, or unlawful conduct. These limitations apply to any theory of liability, whether based on contract, tort, negligence, strict liability, or any other legal theory, regardless of the advisement of possible damages. They remain in effect even if a stated remedy fails its essential purpose.
These agreed limitations reflect allocated risk and consideration for Codesi's services and stand irrespective of prior advisement of potential liabilities. These terms do not alter consumer rights that cannot be waived or limited by law.
12. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Codesi, along with its affiliates, officers, directors, shareholders, employees, and agents, from and against any and all claims, damages, losses, liabilities, costs, debts, and expenses (including reasonable attorneys’ fees and costs). This indemnification includes, but is not limited to:
1. Your violation of any term of these Terms or any other applicable agreements with Codesi.
2. Your Content, platforms, sites, or eCommerce activities.
3. Any claims arising from, on behalf of, or against your Customers.
4. Your violation of any law, regulation, or the rights of any third party, including intellectual property, access rights, and privacy rights.
5. Any claims by tax authorities in any country concerning your operations, including sales to individual consumers and other operations where Codesi could be held liable.
6. Any other claims asserting that your Content or platforms caused damage to a third party.
If Codesi incurs any harm or costs due to your actions or content, you will be responsible for those costs and for defending Codesi.
13. Term; Termination
13.1. Term
These Terms remain in effect as long as you maintain an active account with Codesi or continue using our Services. Your subscription or access to specific features may be governed by additional terms or subscription periods as outlined in your chosen plan or agreement with Codesi.
13.2. Termination by You
You may terminate your account or subscription at any time through your account settings or by contacting us directly. Termination will take effect at the end of the current billing cycle, and you will retain access to the Service until the end of the paid period unless otherwise specified. No refunds will be provided for any unused portion of your subscription unless required by applicable law.
13.3. Termination by Codesi
Codesi reserves the right to suspend or terminate your account and access to the Service at our sole discretion, with or without notice, if:
You breach any terms, policies, or guidelines associated with the use of the Service.
Your actions or content pose a risk to the integrity, security, or functionality of the Codesi platform, or infringe on the rights of others.
We are required to do so by law or regulatory obligations.
13.4. Effect of Termination
Upon termination, all rights granted to you under these Terms will cease immediately, and you must discontinue all use of the Codesi platform. Codesi reserves the right to delete or restrict access to any content associated with your account after termination, subject to applicable data retention policies and legal requirements. Codesi is not liable for any data loss or inconvenience caused by termination of the Service.
14. Miscellaneous
14.1. Changes to these Terms; Updates
Codesi reserves the right to modify, update, or otherwise amend these Terms at any time. Changes may reflect evolving legal requirements, adjustments to our Services offerings, or improvements to enhance user experience. However, Codesi is not liable for any disruptions, losses, or inconveniences arising from modifications, suspension, or discontinuation of the Service. By continuing to use the Service, you acknowledge and accept that the Service may evolve, and agree to any modifications as part of your ongoing use.

14.4. Assignment
Codesi reserves the right to assign, transfer, or delegate any of its rights and obligations under these Terms, in whole or in part, to any affiliate, successor, or third party in connection with a merger, acquisition, sale of assets, or by operation of law. Such assignment may occur without prior notice or consent from you.
You may not assign or transfer any of your rights or obligations under these Terms without Codesi’s prior written consent. Any attempted assignment or transfer in violation of this provision will be null and void. These Terms shall remain binding on and inure to the benefit of each party’s permitted successors and assigns.
14.5. Entire Agreement
These Terms, along with any applicable policies, guidelines, or additional agreements referenced herein, constitute the entire agreement between you and Codesi regarding your use of the Service, superseding any prior or contemporaneous agreements, communications, or understandings, whether written or oral.
